Terms of Service

These Terms of Service ("Terms") govern your access to and use of the myKutir platform — including the website at www.mykutir.in, web application, and iOS/Android mobile applications (collectively the "Platform") — operated by Squadkin Technologies Pvt Ltd, a company incorporated under the Companies Act 2013 in India ("Company", "we", "us", "our").

These Terms are a legally binding contract between you ("User") and Squadkin Technologies Pvt Ltd. They are published in compliance with the Information Technology Act, 2000, the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, and all other applicable Indian laws.

• "Platform" — the myKutir web and mobile application, APIs, and all associated services.
• "Society" — a registered residential housing society, apartment complex, or gated community that subscribes to the Platform.
• "Society Admin" — the authorised representative (Chairman, Secretary, or Treasurer) of a Society who manages the Society's account on the Platform.
• "Resident" — any flat owner, tenant, or family member registered on the Platform by their Society.
• "User" — any person who accesses or uses the Platform, including Society Admin, Resident, Committee Member, Accountant, Staff, Security Guard, or Platform Admin.
• "Subscription" — a paid or trial plan that grants a Society access to Platform features.
• "Content" — all text, images, documents, data, and information uploaded, submitted, or generated by Users on the Platform.

3. Eligibility

To use the Platform, you must be at least 18 years of age and have the legal capacity to enter into a binding contract under Indian law. By using the Platform, you represent and warrant that:

• You are at least 18 years old.
• You have the legal authority to bind yourself or the Society you represent to these Terms.
• Your use of the Platform does not violate any applicable law or regulation.
• You have not been previously suspended or removed from the Platform for violation of these Terms.

4. Account Registration and Security

To use the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information and keep it up to date.
• Keep your login credentials (email, phone number, password, OTP, passkey) strictly confidential and not share them with any other person.
• Notify us immediately at [email protected] if you suspect any unauthorised access to your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that contain false information, are created fraudulently, or are used in violation of these Terms, without prior notice or liability.

5. Platform as Intermediary

myKutir operates as an intermediary under Section 2(w) of the IT Act, 2000 and within the framework of the IT (Intermediary Guidelines) Rules, 2021. We provide a neutral technology platform. We do not originate, own, or control the data and content created by Societies or their members. Society Admins and Users are solely responsible for the accuracy, legality, and appropriateness of the content they upload or submit.

As an intermediary, we are not liable for third-party content hosted on the Platform, provided we act diligently upon receiving actual knowledge of any unlawful content, as required under the IT Rules 2021.

6. Subscription Plans and Payments

Access to full Platform features requires a paid Subscription. By subscribing, you agree that:

• You authorise us to charge the Subscription fee via Razorpay (our payment partner) at the frequency of your chosen plan (monthly or annually), in advance.
• Subscription fees are non-refundable once access has been provided, except as stated in our Refund & Cancellation Policy.
• We will provide at least 30 days' advance written notice (via email to the registered Society Admin) before changing Subscription fees.
• Continued use of the Platform after any price change notice period constitutes acceptance of the new pricing.
• GST at the applicable rate (currently 18%) will be charged in addition to the base Subscription fee and will appear on your invoice.
• Invoices will be issued to the registered Society Admin email address after each successful payment.
• Non-payment beyond a 7-day grace period from the due date may result in suspension of Platform access.

7. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable law or regulation, including the IT Act 2000, Consumer Protection Act 2019, or DPDP Act 2023.
• Upload, share, or transmit content that is defamatory, obscene, abusive, threatening, harassing, discriminatory, or otherwise unlawful.
• Infringe the intellectual property rights of any third party.
• Transmit malware, viruses, Trojan horses, spyware, or any other harmful code.
• Attempt to gain unauthorised access to other users' data, the Platform's systems, or related networks.
• Use the Platform for any commercial purpose other than managing your registered Society.
• Conduct automated data scraping, web crawling, or bulk data extraction of any kind.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Send unsolicited commercial messages (spam) to other Platform users.
• Reverse-engineer, decompile, or disassemble any part of the Platform.
• Attempt to disrupt or overload Platform servers (including DDoS attacks or excessive automated requests).

8. Society Administrator Responsibilities

The Society Admin, as the authorised representative of their Society, is solely responsible for:

• Obtaining free, specific, informed, and unambiguous consent of all Residents, Staff, and third parties before registering their personal data on the Platform, as required under the DPDP Act 2023 and SPDI Rules 2011.
• Ensuring the Society's use of the Platform complies with all applicable data protection and privacy laws.
• Managing user access, roles, and permissions — including promptly deactivating accounts of members who leave the Society.
• Ensuring timely payment of Subscription fees to prevent service interruption.
• Maintaining the accuracy and completeness of Society data including resident records, financial records, and flat details.
• Ensuring all notices, communications, and financial records posted on the Platform are accurate and authorised by the Society's governing body.
• Complying with the applicable state cooperative society laws, apartment association bye-laws, and relevant RERA regulations.

9. Intellectual Property

The Platform, including its design, source code, trademarks, brand name "myKutir", logos, user interface, and all content created by Squadkin Technologies Pvt Ltd, is owned by us and protected under applicable Indian copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for managing your Society in accordance with these Terms. You may not copy, reproduce, distribute, create derivative works from, or exploit any part of the Platform without our prior written permission.

You retain ownership of Content you upload. By uploading Content, you grant us a non-exclusive, royalty-free licence to store, process, and display that Content solely to provide the Service. We do not claim ownership of your Society's data and will never use it for any purpose outside of providing and improving the Service.

10. Data Privacy

Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described therein.

In the Society Admin–myKutir relationship: we act as a Data Processor on behalf of the Society (Data Fiduciary) for Society-specific data, and as an independent Data Fiduciary for platform-level data (account management, billing). We comply with the DPDP Act 2023, SPDI Rules 2011, and all applicable Indian data protection law.

11. Maintenance Payments and Financial Data

The Platform facilitates maintenance fee collection and financial record-keeping for Societies. We act as a technology intermediary only — we are not a bank, financial institution, or payment aggregator.

• All payments are processed by Razorpay and are subject to Razorpay's Terms of Service and RBI's applicable guidelines for payment aggregators.
• Society funds collected via the Platform are settled directly to the Society's registered bank account — we do not hold or pool Society funds.
• Financial reports and statements generated by the Platform are for informational and record-keeping purposes only. They do not constitute certified financial statements, audited accounts, or professional financial advice.
• Societies should engage a qualified Chartered Accountant for statutory audit and compliance under applicable cooperative society or companies law.

12. AI-Powered Features

myKutir includes AI-assisted features (complaint drafting, notice writing, document search, analytics) powered by Anthropic Claude. These features:

• Are provided on a best-effort basis and may not always produce accurate or complete outputs.
• Are for assistance only — AI-generated suggestions are not legal, financial, or professional advice. You must review and verify all AI-generated content before publishing or acting on it.
• Process your input data via Anthropic, Inc. (USA). Input data is not used to train AI models. See Privacy Policy Section 13 for full details.

13. Service Availability

We strive for high availability but do not guarantee uninterrupted, error-free access. The Platform may be temporarily unavailable due to scheduled maintenance (announced 24 hours in advance via email), emergency security patches, third-party service outages, or Force Majeure events. We target a monthly uptime of 99.5% for core Platform features. We are not liable for loss or damage arising from temporary unavailability.

14. Force Majeure

We shall not be liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including: acts of God, natural disasters, epidemic or pandemic, government action, war, civil unrest, power outages, internet infrastructure failures, or failures of third-party services (payment gateways, SMS providers, cloud infrastructure). We will notify affected Society Admins promptly and restore the Service as quickly as practicable.

15. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Squadkin Technologies Pvt Ltd and its directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of data, revenue, profit, goodwill, or business opportunity.
• Damages arising from Society disputes, committee decisions, or actions taken based on Platform data or AI-generated content.
• Damages arising from third-party service failures (Razorpay, SMS providers, push notification services).
• Damages arising from your failure to secure your account credentials.

Our total aggregate liability to any User for all claims arising from these Terms shall not exceed the total Subscription fees paid by that Society in the three (3) calendar months immediately preceding the claim. Nothing in these Terms limits liability for death or personal injury caused by our gross negligence or fraud.

16. Indemnification

You agree to indemnify and hold harmless Squadkin Technologies Pvt Ltd, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) Content you upload; or (e) a Society Admin's failure to obtain proper consent from Residents before registering their data.

17. Termination

By you (Subscription): Cancel your Subscription at any time via Society Settings → Billing or by writing to [email protected]. Cancellation takes effect at the end of the current paid billing period.

By you (Account deletion): To delete your personal account and data, tap Delete my account in the myKutir mobile app (Profile screen), or email [email protected]. Personal identifiers will be deleted within 30 days. Financial records are retained for 7 years as required by Indian law.

By us: We may suspend or terminate access immediately for: violation of these Terms or Acceptable Use Policy; non-payment beyond the grace period; fraudulent or illegal conduct; or if required by a court or government authority.

Upon termination: access ceases; Society data is retained for 90 days to allow export, then permanently deleted. Sections on Intellectual Property, Limitation of Liability, Indemnification, and Governing Law survive termination.

18. Modifications

We may update these Terms at any time. Material changes will be notified to Society Admins by email at least 30 days before taking effect. We may update the Service (add, modify, or remove features) at any time with reasonable notice for material changes. Continued use of the Platform after any change constitutes acceptance.

19. Governing Law and Dispute Resolution

These Terms are governed by Indian law. All disputes are subject to the exclusive jurisdiction of courts in Ahmedabad, Gujarat, India.

Before initiating legal proceedings, parties must attempt resolution by writing to [email protected] with a description of the dispute. We will respond within 15 business days. If unresolved after 60 days, either party may approach the appropriate court or consumer redressal forum.

Users who are "consumers" under the Consumer Protection Act 2019 retain the right to approach their appropriate Consumer Disputes Redressal Commission regardless of this clause.

In accordance with the IT Act 2000, IT (Intermediary Guidelines) Rules 2021, and Consumer Protection (E-Commerce) Rules 2020, our Grievance Officer is:

21. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, Refund Policy, and Cookie Policy, constitute the entire agreement between you and us regarding the Platform.
• Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will stay in force.
• Waiver: Failure to enforce any provision on any occasion does not waive our right to enforce it in future.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign these Terms to a successor entity in a merger or acquisition.
• Language: These Terms are in English. In any conflict between English and any translation, English prevails.
